Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of SaccoShares, a classifieds marketplace for SACCO share transfers in Kenya. SaccoShares is a product of Play360 Solutions LTD, a company incorporated in Kenya ("Play360", "we", "us", "our").

By creating an account or using the platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use SaccoShares.

2. Eligibility

To use SaccoShares you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract under the Laws of Kenya.
  • Not be prohibited from using the platform under any applicable Kenyan law or regulation.

By using SaccoShares you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to request proof of age or identity and to suspend accounts where eligibility cannot be confirmed.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@saccoshares.co.ke if you suspect unauthorised access.

You may not create an account on behalf of another person without their explicit authorisation, or use another person's account without permission.

4. Seller Obligations

As a seller on SaccoShares, you agree to:

  • List only SACCO shares that you genuinely own or are authorised to sell.
  • Provide accurate information in your listing, including the correct SACCO name, share quantity, price per share, and county.
  • Comply with the rules of your SACCO regarding share transfers, including obtaining any required SACCO board or committee approval before completing a transaction.
  • Not list shares that are subject to a lien, charge, or any other encumbrance that would prevent a valid transfer without disclosing this.
  • Remove or update your listing promptly once the shares are no longer available for sale.

SaccoShares is a classifieds platform. We do not verify the ownership of listed shares or the rules of individual SACCOs. You are solely responsible for ensuring your listing and any resulting transaction comply with your SACCO's by-laws and applicable Kenyan law.

5. Buyer Obligations

As a buyer on SaccoShares, you agree to:

  • Pay for inquiry reveals only when you have a genuine intention to contact the seller regarding the listed shares.
  • Conduct your own due diligence on the seller, the SACCO, and the shares before completing any off-platform transaction.
  • Not use seller contact information obtained through SaccoShares for any purpose other than pursuing the specific share transaction.

Payments for inquiry reveals are non-refundable once the seller's contact details have been disclosed to you. If you believe there has been a technical error, contact us at support@saccoshares.co.ke within 24 hours.

6. Payments and Subscriptions

Certain features of SaccoShares (including seller subscriptions and buyer inquiry reveals) require payment via M-Pesa. By initiating a payment, you authorise the applicable M-Pesa STK push charge to your registered M-Pesa number.

All prices are quoted in Kenya Shillings (KES) inclusive of any applicable taxes. We reserve the right to change pricing at any time. Changes to subscription pricing will be notified at least 14 days in advance.

Subscriptions do not renew automatically. You must initiate a new payment to renew a subscription.

7. Prohibited Conduct

You may not:

  • Post false, misleading, or fraudulent listings.
  • Scrape, crawl, or systematically extract data from SaccoShares without our written consent.
  • Attempt to bypass, disable, or circumvent any security feature of the platform.
  • Use the platform for any purpose that violates Kenyan law, including the Kenya Information and Communications Act, 1998 (as amended), the Computer Misuse and Cybercrimes Act, 2018, or any applicable SACCO regulations.
  • Harass, intimidate, or abuse other users.
  • Create multiple accounts to circumvent a suspension or abuse free trial features.

8. Intellectual Property

The SaccoShares name, logo, design, and all original platform code are the intellectual property of Play360 Solutions LTD. Nothing in these Terms grants you any licence to use our brand assets.

You retain ownership of content you post (listings, messages). By posting content on SaccoShares, you grant Play360 Solutions LTD a non-exclusive, royalty-free licence to display and index that content on the platform for as long as the listing is active.

9. Disclaimers

SaccoShares is a classifieds platform only. We are not a broker, dealer, or financial adviser. We do not verify the accuracy of listings, the creditworthiness of users, or the legitimacy of any SACCO.

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by the Laws of Kenya, Play360 Solutions LTD shall not be liable for:

  • Any loss arising from transactions conducted off-platform between buyers and sellers.
  • Indirect, incidental, special, or consequential loss or damage, including loss of profit or data.
  • Any loss caused by a third-party service (M-Pesa, WhatsApp, Google, Facebook).

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total amount you paid to SaccoShares in the 12 months preceding the claim.

11. Account Termination

You may close your account at any time by contacting us at support@saccoshares.co.ke.

We may suspend or terminate your account immediately, without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or if required to do so by law. On termination, your listings will be removed and your access to the platform will cease. Payment records are retained as required by law (see our Privacy Policy).

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the Laws of Kenya.

Any dispute arising out of or in connection with these Terms shall first be referred to our support team at support@saccoshares.co.ke for resolution. If the dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the courts of Kenya.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the platform after the effective date of any change constitutes acceptance of the revised Terms. For material changes, we will provide at least 14 days' notice by email or platform notification.
